Terms & Conditions
Prices
All prices are subject to VAT, currently at 20%, unless VAT isn't applicable or where a VAT exemption number is available in advance of the order proceeding. Website prices are guidelines only. Official quotations will give a final price based on exact specifications. We reserve the right to revise pricing in case of a quotation error. All prices quoted are subject to confirmation of the final artwork.
Payment Terms
Pre-approved credit account invoice terms are 30 days from the invoice date unless by special agreement. Pro forma invoices require payments in advance of delivery of goods. Goods will not be produced and delivered without a paid pro forma. Any delays in receiving a pro forma payment could impact lead times and delivery dates. Credit accounts are subject to credit status. We can accept BACS, most credit and debit cards, and PayPal.
Product Specification
We reserve the right to alter any merchandise product specification at any time. All items and images are described as accurately as possible across all media platforms, often supplied by our manufacturers, wholesalers, and suppliers. We cannot be held responsible for errors relating to incorrect information that may impact an order. The discontinuation of stock items can happen without prior notice to Astute Branding. We cannot be held liable for any loss caused by stock issues. Stock levels for off-the-shelf products and clothing can change daily, but alternative items will be available if any are out of stock.
Artwork & Visual Proofs
Proof approval in writing is required before production can commence, including repeat orders. Any approval delays may affect lead times and delivery dates. Proofs are to visualise and confirm artwork, print areas, branding methods, and print colours (if applicable). The client is responsible for submitting the correct artwork and details. Accepted artwork files are vectored, outlined, hi-res, and editable formats such as EPS, AI, or PDF. Other formats can be accepted, depending on the individual product and branding requirements.
Branding
When Pantone, CMYK values, or other print and embroidery colours are specified, every effort is to reproduce the colours as expected. We cannot accept liability for inconsistencies when we have used the correct colour values supplied by the client. Although every effort is made in advance to raise any potential concerns - products, materials, and fabrics will sometimes visually reproduce different results when using the correct branding colour codes.
Delivery
We will always do our best to ensure that goods arrive on time and in excellent condition, but we cannot accept responsibility for any loss caused by courier issues and delays. Includes transit by airfreight, sea shipment, and customs clearances that are out of our control. On arrival, goods must be checked by the client and in the unlikely event of any damage or other issues regarding the order, Astute Branding must be contacted immediately.
Faulty/Missing Items
Faulty/missing items are to be reported to Astute Branding within 48 hours of receipt of goods. Images or a collection of the items may be required for inspection to determine the issues raised and to ensure it is rectified as quickly as possible.
Cancellations
Approved orders that have entered production and where materials have been purchased in advance will be charged in full. Cancelled orders that have not entered production may incur charges such as origination, material, labour, administration costs, restocking, and other applicable fees. Cancelled orders are to be sent to Astute Branding in writing.
Passing of Title & Risk
The risk of the goods passing from Astute Branding to the client is upon delivery. Until full payment is received, the goods remain the property of Astute Branding. If payment is not received within the agreed invoice terms, it may result in proceedings to recover the full invoice amount, along with any additional fees incurred.
Liability
Save insofar as defects in the goods cause death, injury, or damage to personal property, our liability for any loss or damage suffered by you in respect of the goods shall be limited to the contract value of the goods. We can accept no responsibility for loss or damage arising from the supply of goods under this contract unless you have fully complied with the notification of the claim procedure. Nothing in these terms and conditions shall affect your consumer statutory rights.
Force Majeure
We will not be held responsible for failure or delay in the carrying out of our obligations under the contract arising or any cause outside our reasonable control. In this situation, we shall be entitled, by notice, to terminate the contract in whole or in part without incurring any liability.
